Terms of Service

1. Who we are and what this service is
MedSpace360 ("the Service") is operated by DEOCAs LLC, a Florida limited liability company based in Tampa, Florida ("DEOCAs", "we", "us"). The Service provides web technology and marketing services for licensed healthcare providers: a professional website, Google Business Profile configuration, and a patient review request toolkit.
MedSpace360 is not a medical service. We do not provide medical care, medical advice, or clinical services of any kind; we do not access, store, or process patient health records; and nothing in the Service creates a provider–patient relationship with us.
2. Eligibility
The Service is available to healthcare providers licensed in the United States who hold an individual National Provider Identifier (NPI), or to persons expressly authorized to act on such a provider's behalf. By ordering, you represent that you are that provider or their authorized representative, that the provider's license is active and in good standing, and that you have authority over the NPI used.
3. How the Service works: 48-hour delivery and your approval
After you complete the onboarding wizard and payment, our team assembles your deliverables within approximately 48 business hours. Your website is published as pending your approval: you review the content and approve it (or request corrections) before we consider it delivered. You are responsible for reviewing the accuracy of all published information about you and your practice.
4. Your information and the NPPES registry
To reduce onboarding friction, the Service retrieves your public record from the federal NPPES registry maintained by CMS. Registry data may be outdated; the wizard lets you correct every field, and you confirm the accuracy of the final information. We never publish a site based on registry data alone without your explicit confirmation.
Impersonation is strictly prohibited. Creating or attempting to create a site for a provider without their authorization is a material breach of these Terms, results in immediate termination without refund, and you agree to indemnify DEOCAs for any claims arising from such conduct.
5. Fees, billing and cancellation
Plans are billed monthly or annually through Stripe, plus any one-time setup fee shown at checkout. Prices are displayed before payment. Taxes may apply and are calculated at checkout. You may cancel at any time through the billing portal; there are no long-term contracts and no cancellation fees.
On cancellation: your website remains live through the end of the paid period; within 30 days we provide a static export of your site content; and hosting is decommissioned thereafter. Your domain remains yours (see Section 6). Fees already paid are non-refundable except where required by law.
6. Ownership
Yours: your domain name (registered in your name; you are the registrant), the content of your site (text about your practice, your photos and logo), and the static export we deliver on cancellation.
Ours: the MedSpace360 templates, designs, software, systems, and know-how, including improvements made while serving you. You receive a limited license to use them as part of an active subscription, not ownership of them.
7. Your representations
You represent and warrant that:
- all information you provide is truthful, accurate, and not misleading;
- you hold an active, unrestricted license to practice in your state(s);
- you have authority over the NPI submitted;
- any materials you supply (photos, logos, text) are yours to use and do not infringe third-party rights; and
- your use of the review toolkit will comply with applicable law and our Acceptable Use Policy, including never incentivizing reviews or selectively soliciting them.
8. Acceptable use
Use of the Service is subject to our Acceptable Use Policy, which prohibits, among other things, provider impersonation, misleading medical claims, scraping our NPI lookup, and reselling the Service without an agreement.
9. Indemnification
You agree to defend, indemnify and hold harmless DEOCAs and its members, officers and contractors from claims, damages and expenses (including reasonable attorneys' fees) arising from: the content you provide or approve; your medical practice or professional services; your breach of these Terms; or your violation of law, including advertising rules applicable to your profession.
10. Disclaimers and limitation of liability
The Service is provided "as is" and "as available". We do not warrant uninterrupted operation, specific search rankings, patient volume, or business outcomes, and we expressly make no guarantee of results. To the maximum extent permitted by law, DEOCAs' total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages.
11. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. Venue for any dispute lies in the state or federal courts located in Hillsborough County, Florida, and the parties consent to personal jurisdiction there. (Arbitration provisions, if any, to be finalized with counsel.)
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email to active subscribers at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
